These Terms of Service (the "Terms") govern your use of the Locate platform (locate.ge), which combines a directory of professionals and companies, online booking, and SaaS tools for business management.

By using our service, you agree to these Terms. If you do not agree with any provision, please do not use the platform.

Locate provides a platform that:

• Allows clients to find and contact professionals in various fields
• Allows professionals to publish information about their services and attract clients
• Provides secure communication between users
• Provides ratings and reviews
• Provides professionals and companies with subscription-based CRM, calendar, team, branch, and internal financial management tools

Locate provides software. Services listed in the directory are delivered by the professionals and companies themselves; Locate is neither their employer nor the provider of those services.

3.1. Registration: Some platform features require an account. You agree to provide accurate and up-to-date information.

3.2. Security: You are responsible for keeping your password secure and for all activity performed through your account.

3.3. Age restrictions: You must be at least 18 years old to register, in accordance with the laws of Georgia.

You agree not to:

• Publish false, misleading, or fraudulent information
• Infringe the intellectual property rights of third parties
• Use the platform for unlawful activities
• Distribute malware or spam
• Create multiple accounts to manipulate the platform
• Use automated means to access the platform without permission

Professionals and companies also agree to:

• Hold all licenses and permits required to provide their services
• Provide services to an appropriate professional standard
• Independently comply with applicable licensing, sanitary, medical, and privacy requirements for dental and other medical services
• Obtain and retain all required patient consents before providing medical services
• Comply with the tax laws of Georgia
• Respond to client requests promptly
• Publish only authentic photographs of their work

Locate does not provide dental or medical services, make diagnoses, or control clinical decisions. The clinic or professional listed on the platform is responsible for the quality of treatment, the accuracy of medical information, licensing, and medical record keeping.

Patient charts, complaints, diagnoses, treatment plans, medical images, and consents are entered, uploaded, and maintained by authorized clinic staff. Locate stores and displays these records according to the access permissions granted. Document templates are populated with clinic data and reviewed by clinic staff; they do not constitute an automatically generated diagnosis or an individual treatment recommendation.

6.1. Basic services: Basic use of the platform is free for clients.

6.2. Locate subscription: Paid plans provide access to the platform's SaaS features. Locate does not charge a commission on bookings, orders, or the value of services provided by professionals and companies. Freemius is used solely to process payments for Locate SaaS subscriptions. Freemius is not used to accept payments for appointments, professional services, client memberships, advances, deposits, or transaction commissions.

6.3. Payment for services: Clients pay the professional or company directly. If a company connects its own acquiring provider, such as Monobank, payment is processed by that provider and paid directly to the company. This integration is separate from Freemius SaaS billing. Locate does not receive or hold client funds for company services and does not transfer or refund those funds on a company's behalf.

6.4. Currency: Locate SaaS subscriptions are charged in USD through Freemius regardless of the domain. The price, subscription period, and total amount including applicable taxes are shown before payment is confirmed. Prices for services offered by professionals and companies are listed separately; the base directory currency for this domain is GEL. The service currency does not change the currency of a Locate subscription.

6.5. Internal financial records: Cash registers, accounts, client balances, deposits, withdrawals, transfers, refunds, and reversals in the CRM are the company's internal accounting records. Creating or changing such a record does not itself move real funds or initiate a bank refund. A client balance in the CRM is not an electronic wallet or money held by Locate. The company is responsible for actual settlements and refunds for its services, either directly or through its payment provider.

Locate's paid features may not be used for fraud, spam, unlawful services, sanctions evasion, the sale of prohibited goods, misleading medical claims, unlicensed medical activity, gambling, unauthorized financial products, or any activity that a payment provider, acquiring bank, or applicable law prohibits or subjects to additional review.

Locate may request additional information, restrict access, cancel a subscription, or deny paid features if a profile, company, service, or transaction presents elevated legal, payment, or reputational risk.

All platform materials, including its design, logos, text, and software, are the property of the operator and are protected by copyright law.

By publishing content on the platform, you grant us a non-exclusive license to use that content to operate and promote the service.

Certain Locate features use third-party services, including Google Sign-In, Firebase Authentication, Google Maps Platform, and Google Places. Map features are also subject to the Google Terms, Google Privacy Policy, and Google Maps Platform Terms.

When maps, addresses, Place IDs, routes, or links to Google Maps are displayed, users must comply with the terms of the relevant third-party service. Locate does not alter or remove required Google Maps or map data provider attributions.

OpenAI is used to help prepare service names, public-facing text, service categorization, and answers based on Locate help materials. Generated suggestions must be reviewed by the user. These features are not intended for diagnosis, medical image analysis, treatment decisions, or personalized medical advice.

Medical records from a clinic account are not connected to the AI generator and are not inserted into its requests automatically. Users must not submit patient details, diagnoses, treatment plans, medical images, or other confidential medical information in AI prompts or descriptions used for generation.

The platform is provided "as is." We do not guarantee:

• Uninterrupted operation of the service
• The absence of errors or vulnerabilities
• The quality of services provided by professionals
• The accuracy of information published by users

We are not liable for direct or indirect losses arising from the use of, or inability to use, the platform.

9.1. Between users: Disputes between clients and professionals must be resolved by the parties themselves. We may offer mediation but are not required to do so.

9.2. With the platform: Any dispute with the platform operator is governed by the laws of Georgia and is subject to the courts at the operator's location.

We reserve the right to suspend or delete a user's account without prior notice if these Terms are violated.

You may delete your account at any time through your profile settings.

We may update these Terms at any time. We will notify users of material changes by email or through the platform.

Your continued use of the platform after an update means that you accept the revised Terms.
